The Lawyer Network is delighted to announce that Jean C. Farrugia B.A. LL.D of 'DF Advocates' has joined the Lawyer Network. Jean has joined the Lawyer Network as our exclusive Banking & Securities member in Malta.
Jean is a qualified lawyer and has been a senior partner with DF Advocates since 2003. Having considerable experience acting as a transactional lawyer, he specialises in financial services and corporate law with a special focus on investment services (both from a regulatory and transactional perspective), banking, securities law and capital markets, corporate restructuring (including cross-border restructuring), joint ventures, mergers and acquisitions and private placements equity issues, listings, and general corporate advisory work. He has also considerable experience in privatisation processes of state owned entities and expertise in public procurement legislation.
Over the past twelve years Jean has advised and still acts on an ongoing basis for major local and international companies including banks, insurance companies, private equity firms, funds, investment advisors and fund/asset managers, in the setting up and licensing of their business as well as on their regulatory and compliance needs. He also advises on an ongoing basis various entities on corporate related issues, including corporate governance, shareholder rights, directors duties, instrument listing and dematerialisation, private placements, restructuring and M&A operations.
Jean also acted and is still very active in the public procurement sector where he advises tenderers in public procurement related tenders spanning various industries both at bidding stage and at appeal stage. He has on various occasions acted as team member or team leader in legal teams assisting and advising both bidders as well as the Government of Malta in a number of privatisation processes of state owned entities and government concessions, including the lotteries department, the Malta International Airport, the Malta ship yards and super yacht facilities, various concession for the operation of marinas in Malta and Gozo and the process leading to the concessions for the operation land casinos in Malta and Gozo.
Jean also acts as non executive director for a number of regulated entities operating in the financial services sector, including funds and fund management companies with a particular focus on the legal and regulatory aspects of the various operations carried out by such companies, corporate governance, regulatory compliance and AML occasionally accepting appointments also as company secretary, MLRO and Compliance Officer thereby acting as liaison between such licensed entities and the regulator (the Malta Financial Services Authority).
